Synergy Evaluation in Diversified M&A Deals for Indian Conglomerates

Objective: To assess and quantify potential operational and financial synergies in a proposed corporate diversification through M&A for an Indian conglomerate.

Problem & Context: In India, many large conglomerates pursue diversification through mergers and acquisitions, aiming to unlock synergies and enhance shareholder value. However, post-merger underperformance is common due to overestimated synergy potential and integration challenges.

Approach & Methodology: The student team will select a recent or proposed Indian M&A transaction involving diversification (e.g., Reliance, Tata, Aditya Birla Group). They will apply frameworks like the Synergy Realization Framework, conduct financial modeling, and use sector benchmarks to assess operational and financial synergies. Data will be sourced from company reports, CMIE Prowess, and industry publications.

Deliverables & Analysis: Outputs include a synergy assessment model (Excel), risk analysis, integration roadmap, and a strategic recommendation report. The analysis will quantify expected cost savings, revenue enhancement, and integration risks, supported by scenario analysis and benchmarks.

Business Impact & Decision: The findings will inform the conglomerate’s management or shareholders about the true value creation potential and risks of the diversification move, supporting go/no-go and integration strategy decisions.
